Job summary

Sidley Austin LLP seeks a Staff Attorney to support its blue sky and securities compliance program for investment funds and corporate practices. You will prepare and manage federal and state securities filings for private offerings, coordinating with fund formation attorneys and clients.

The ideal candidate has a J.D. and New York bar admission, experience with Form D/ID and blue-sky notices, and can manage deadlines in a detail-oriented environment while building expertise in exempt offerings

Qualifications

• J.D. from an ABA-accredited law school.
• Admitted to practice law in New York in good standing.
• Experience with securities filings, especially Form D, Form ID, blue-sky filings, or Rule 701.
• Familiarity with EDGAR filing systems and state securities portals.
• Strong organizational and deadline-driven filing management.
• Excellent written and verbal communication.
• Able to work independently and with teams.
• Experience at a law firm, in-house securities/compliance, or fund administrator is a plus.

Responsibilities

• Prepare, review, and file Form ID applications to obtain EDGAR access codes for clients.
• Prepare and file Form D notices under Regulation D for private fund offerings.
• Coordinate and manage blue sky filings across multiple state jurisdictions.
• Prepare and maintain blue sky charts identifying exemptions and filing requirements.
• Process filings related to Securities Act Rule 701, including disclosure thresholds and exemptions.
• Maintain filing calendars, compliance trackers, and records for timely submissions.
• Communicate with fund formation attorneys and clients regarding filing status and deadlines.
• Liaise with state securities regulators and EDGAR filer support as needed.
• Monitor regulatory changes affecting exempt offerings and flag relevant developments.
