Job summary

SwiftConnect is seeking a Commercial Counsel to own day-to-day contracting for a SaaS platform. With 2–5 years of experience, you will draft, review, and negotiate customer and vendor agreements, partnering with Sales, Finance, Procurement, Product, Compliance, and Customer Success to move deals from intake to signature.

Reporting directly to the VP, Legal, you will handle routine terms, escalate non-standard risk, and help shape contracting processes as the company scales, balancing velocity

Qualifications

• Juris Doctor from an accredited U.S. law school and active license in at least one U.S. jurisdiction.
• 2–5 years of commercial contracts experience, including in-house at a SaaS/tech company.
• Hands-on experience negotiating SaaS and technology agreements, including subscription terms and data processing provisions.
• Experience with HIPAA and Business Associate Agreements; knowledge of U.S. and global privacy frameworks.

Responsibilities

• Draft, review, and negotiate a high volume of standard commercial agreements (SaaS subscriptions, NDAs, DPA, BAAs, vendor/partner agreements).
• Review customer purchase orders and vendor paperwork and advise if they can be signed as presented.
• Serve as main point of contact with customer procurement and legal teams on routine terms; escalate non-standard risk to VP, Legal.
