Job summary

H&P Executive Search is seeking an experienced Assistant General Counsel with a transactional focus for our renewable energy client in the D.C. region.

The role partners with senior business and legal leaders to counsel on project development, acquisitions, and project finance. You will draft and negotiate a broad range of agreements, manage due diligence portfolios, and support risk management initiatives across the full lifecycle of complex energy projects.

Qualifications

• JD from an accredited law school.
• Minimum of four years' experience in transactional law, corporate finance, commercial contracts, or real estate.
• Strong contract drafting and negotiation skills.
• Experience managing multiple transactions simultaneously in a fast-paced environment.
• Excellent communication, organisation, and stakeholder management skills.

Responsibilities

• Draft, review, redline, and negotiate a broad range of commercial agreements (NDAs, PPAs, Leases, EPCs, etc.).
• Adapt and improve standard contract templates to meet business requirements.
• Manage legal aspects of transactions to ensure efficient execution and timely project closings.
• Support project finance transactions by preparing and coordinating due diligence materials for debt and equity investors.
• Assist with underwriting processes and monitor project funding requirements and post-closing obligations.
• Maintain and organise legal due diligence portfolios for project financing activities.
• Support the development and implementation of company-wide risk management initiatives.
• Provide practical legal advice to cross-functional teams on commercial and project development matters.
