Qualifications

  • J.D., LL.B., or equivalent law degree from an accredited institution.
  • Active bar admission in at least one U.S. state or Canadian province.
  • Minimum 3 years of law firm and/or in-house legal experience.
  • Strong drafting, negotiation, and contract management experience.
  • Ability to manage multiple priorities in a fast-paced environment.

Responsibilities

  • Lead negotiations, drafting, and legal review of commercial agreements and strategic transactions.
  • Support acquisitions, divestitures, project sales, joint ventures, and partnership arrangements.
  • Provide legal guidance on corporate structuring, governance, and risk management matters.
  • Advise internal stakeholders on legal strategy for complex business initiatives.
  • Support project debt and equity financing transactions.
  • Conduct legal due diligence for acquisitions, financings, and strategic investments.

Counsel, Renewable Energy Projects

Hybrid | U.S. & Canada Locations | Renewable Energy Development

A leading North American renewable energy developer, owner, and operator is seeking a Counsel to support the development, financing, acquisition, construction, operation, and disposition of utility-scale renewable energy projects.

This is an outstanding opportunity for an attorney who enjoys working across the full project lifecycle, from project development and M&A to financing, procurement, construction, compliance, and commercial operations. The role offers significant exposure to complex transactions involving solar, wind, battery storage, transmission, and other energy infrastructure assets.

Position Overview

The Counsel will provide legal support across a broad range of corporate, transactional, regulatory, procurement, and project development matters. This role partners closely with business leadership and cross-functional stakeholders to help structure, negotiate, and execute strategic renewable energy transactions throughout North America.

Key Responsibilities
Transactional & Corporate Support
  • Lead negotiations, drafting, and legal review of commercial agreements and strategic transactions.
  • Support acquisitions, divestitures, project sales, joint ventures, and partnership arrangements.
  • Provide legal guidance on corporate structuring, governance, and risk management matters.
  • Advise internal stakeholders on legal strategy for complex business initiatives.
Project Development & Finance
  • Support project debt and equity financing transactions.
  • Conduct legal due diligence for acquisitions, financings, and strategic investments.Assist with build-transfer, design-build-sell, and other development structures.
  • Support renewable energy project development and execution activities.
Commercial Contracting
  • Draft and negotiate:
    • Procurement agreements
    • EPC and construction contracts
    • Equipment supply agreements
    • Service agreements
    • Master service agreements
    • Consulting agreements
    • Non-disclosure agreements
    • Offtake and energy sale agreements
Regulatory & Compliance
  • Provide legal guidance on compliance initiatives and regulatory matters.
  • Support permitting activities and governmental approvals.
  • Assist with federal, state, provincial, and regional energy market matters.
  • Develop practical compliance guidance for internal business teams.
Legal Operations
  • Manage external counsel and other legal service providers.
  • Deliver legal training and educational programs.
  • Improve legal department processes, templates, and risk management practices.
  • Collaborate closely with legal colleagues across North America.
Qualifications
Required
  • J.D., LL.B., or equivalent law degree from an accredited institution.
  • Active bar admission in at least one U.S. state or Canadian province.
  • Minimum 3 years of law firm and/or in-house legal experience.
  • Strong drafting, negotiation, and contract management experience.
  • Ability to manage multiple priorities in a fast-paced environment.
Preferred
  • 5+ years of relevant legal experience.
  • Background supporting renewable energy companies or renewable energy clients.
  • Experience with:
    • Power purchase agreements (PPAs)
    • Virtual power purchase agreements (VPPAs)
    • Tax credit transfer transactions
    • Interconnection and transmission agreements
    • Project finance transactions
    • Joint venture structures
    • Renewable energy M&A transactions
    • Solar, wind, and battery energy storage projects
