Job summary

C&M Legal Search is seeking a Senior Commercial Transactions Attorney for a 100% remote, full-time role serving high-growth startups and modern businesses. You will draft and negotiate a wide array of commercial and technology contracts and act as outside general counsel on day-to-day legal questions.

You will work directly with founders and leadership teams on structuring companies, equity, governance, and deal terms, with upside compensation tied to contributions and growth of the firm.

Qualifications

• JD from an accredited law school.
• Active attorney license in good standing.
• 5+ years corporate/commercial experience with startups/private companies.
• Trained at Big Law or elite boutique or in-house/outside GC environment.
• Strong drafting and negotiation of commercial contracts; risk counseling.
• Solid grounding in corporate and equity matters including formations, governance, cap tables.
• Ability to own matters and manage client relationships directly.
• Comfort with fast-paced early-stage and growth businesses.
• Willingness to learn across new verticals and areas of law.
• Business-first, practical, fast-moving, solution-oriented.

Responsibilities

• Serve as outside general counsel for a portfolio of clients handling day-to-day commercial, corporate, and business matters.
• Draft, review, and negotiate commercial and technology transactions including MSAs, SOWs, NDAs, SaaS and licensing agreements.
• Prepare and negotiate privacy terms, data notices, and related security provisions.
• Advise on startup and small business structuring, equity splits, IP assignments, and cap table planning.
• Advise on governance and equity matters including equity plans and investor onboarding.
• Manage equity and ownership matters including issuances, transfers, buybacks, and redemptions.
• Serve as outside GC on board governance and risk management while balancing business strategy.
• Stay adaptable and learn new verticals as client needs evolve.
• Refine templates, playbooks, and workflows to improve speed and consistency.
