CyberCoders, Inc. is seeking a skilled Tax Associate with transactional real estate experience to join our tax practice in a hybrid or remote capacity. You will advise clients on tax-efficient structuring and perform tax analysis for real estate transactions across the lifecycle of deals.

The ideal candidate is a JD with 5+ years of transactional tax experience, strong research and writing skills, and the ability to collaborate with attorneys and clients in a fast-paced environment.

Qualifications

• Juris Doctor (JD) with active bar admission; LLM in Taxation preferred.
• 5+ years in transactional tax focused on real estate.
• Experience advising on acquisitions, dispositions, financings, and restructurings.
• Strong legal research, writing and client-facing documentation.

Responsibilities

• Provide tax advice on real estate transactions including acquisitions, dispositions, financings, joint ventures, and restructurings.
• Draft, review and negotiate tax provisions in purchase agreements, loan documents, operating agreements, and partnership agreements.
• Structure deals to achieve tax efficiency and model alternative structuring scenarios.
• Conduct tax due diligence, identify risks, and coordinate with deal teams to close.
• Advise on partnership taxation, REITs, Section 1031 exchanges and related regimes.
• Collaborate with attorneys, accountants, and client teams to deliver integrated transactional advice.
• Prepare client-facing deliverables including tax opinions and executive summaries.
• Stay current on tax law changes and communicate impacts to clients and teams.
• Supervise junior associates and contribute to practice development.
