Position Overview
We are seeking a skilled Tax Associate with transactional experience in real estate to join our tax practice. The role focuses on advising clients on tax-efficient structuring, performing transactional tax analysis for real estate deals, and supporting attorneys and clients through the lifecycle of acquisitions, dispositions, financings, and restructurings. The ideal candidate is an attorney with practical tax experience who can combine technical tax knowledge with commercial judgment to deliver clear, timely advice in a fast-paced environment.
Compensation
Up to $320k base + bonuses
Key Responsibilities
- Provide tax advice on real estate transactions including acquisitions, dispositions, financings, joint ventures, and restructurings.
- Perform federal, state and local tax research and prepare concise legal memoranda summarizing analysis and recommendations.
- Draft, review and negotiate tax-related provisions in purchase agreements, loan documents, operating agreements, partnership agreements, and other transactional documents.
- Structure deals to achieve tax efficiency for clients, analyze tax consequences and model alternative structuring scenarios.
- Conduct tax due diligence for transactions, identify tax risks, and coordinate with deal teams to resolve issues prior to closing.
- Advise on partnership taxation, REITs, Section 1031 exchanges, tax-deferred rollovers, and other real estate-specific tax regimes.
- Collaborate with attorneys, accountants, and client teams to deliver integrated transactional advice and support closing processes.
- Prepare client-facing deliverables including tax opinion letters, executive summaries, and client alerts on tax developments affecting real estate transactions.
- Keep current on changes in tax law and interpretive guidance; communicate impacts to clients and internal teams.
- Supervise and mentor junior associates, review work product, and contribute to practice development and business development activities.
Qualifications
- Juris Doctor (JD) from an accredited law school and active bar admission; LLM in Taxation or equivalent advanced tax training preferred.
- 5+ years of transactional tax experience with a focus on real estate (including law firm, accounting firm, or in-house experience).
- Demonstrated experience advising on acquisitions, dispositions, financings, joint ventures, partnership structures, and related tax issues.
- Strong knowledge of federal, state and local tax rules, partnership tax, REIT rules, and real estate-specific tax regimes (e.g., 1031 exchanges).
- Excellent legal research, writing and analytical skills; ability to prepare clear memoranda and client-facing documents.
- Proven ability to draft and negotiate tax provisions in complex transactional documents.
- Excellent interpersonal and client service skills; comfortable working on deal teams and explaining complex tax concepts to non-tax professionals.
- Highly organized, able to manage multiple matters and deadlines in a fast-paced environment.
- Experience supervising junior attorneys or staff and contributing to practice development initiatives.
