Job summary

Veralto, a global leader in essential technology solutions, seeks a Director of Mergers & Acquisitions and Assistant Corporate Secretary to lead complex transactions and support corporate governance.

Reporting to Corporate Secretary and VP, M&A, you will manage cross‑border deals, coordinate due diligence, negotiate key documents, supervise outside counsel, and advise senior executives on strategy and risk in a fast‑moving, global environment.

Qualifications

• 10+ years of experience leading complex M&A transactions at a major law firm (AmLaw 100) and/or a global corporate legal department (Fortune 500).
• Deep expertise in corporate law, cross‑border public and/or private M&A, and complex transaction negotiation.
• Demonstrated experience advising senior executives on high‑stakes matters and leading multiple concurrent transactions and workstreams.

Responsibilities

• Architect and execute public and/or private M&A transactions across global markets.
• Coordinate cross-functional due diligence; identify risks across contracts, IP, compliance, labor, environmental, and sector matters.
• Lead negotiation of LOIs, NDAs, purchase agreements, and related documents.
• Manage outside counsel to ensure effective execution and cost control.
• Advise leadership on deal strategy, risk allocation, and integration implications.
• Partner with Finance, Tax, HR, Compliance on transaction structuring and working capital.
• Support subsidiary governance, global entity maintenance, and treasury activities.
• Drive improvements to M&A playbooks, templates, and processes, and mentor junior attorneys.
