Job summary

Taylor Root represents a publicly traded advanced materials company seeking a Corporate Counsel, Mergers & Acquisitions. The role reports to the Deputy General Counsel and General Counsel and requires a strong M&A foundation developed in top law firms or in-house settings.

The position covers M&A activity, corporate development, governance, and general corporate matters, with a focus on transactions, due diligence, and post-closing integration.

Qualifications

• J.D. from an accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• 3–6 years of corporate transactional or M&A experience in a leading law firm or publicly traded company.
• Experience conducting legal due diligence and drafting transaction documents.

Responsibilities

• Support mergers, acquisitions, joint ventures, strategic investments, and other corporate transactions.
• Conduct and manage legal due diligence reviews.
• Draft, review, and negotiate NDAs, LOIs, purchase agreements, schedules, and ancillary documents.
• Assist with transaction structuring, execution, and closing processes.
• Coordinate with internal stakeholders and external advisors throughout transaction lifecycles.

Job description

Representing a publicly traded advanced materials company, we are proud to be leading the search for a Corporate Counsel, Mergers & Acquisitions. Reporting to the Deputy General Counsel and General Counsel, this role is ideal for an attorney with a strong M&A law foundation, built at a leading law firm and/or in-house, looking to take on a meaningful in-house role at a growing public company.

As the Corporate Counsel, Mergers & Acquisitions, you will be responsible for:

M&A & Corporate Development

• Support mergers, acquisitions, joint ventures, strategic investments, and other corporate transactions.
• Conduct and manage legal due diligence reviews.
• Draft, review, and negotiate NDAs, letters of intent, purchase agreements, disclosure schedules, and ancillary transaction documents.
• Assist with transaction structuring, execution, and closing processes.
• Coordinate with internal stakeholders and external advisors throughout transaction lifecycles.
• Manage transaction checklists, diligence trackers, and closing documentation.
• Support post-closing integration activities, including governance, compliance, and legal entity matters.
• Assist with integration planning and implementation efforts across acquired businesses.
• Help identify and mitigate legal risks arising during transactional processes.

Corporate Governance

• Assist with subsidiary management, entity maintenance, and organizational matters.
• Support board approvals, resolutions, and governance actions required for transactions.
• Coordinate with finance and accounting teams regarding transaction-related disclosure requirements.

Commercial & General Corporate

• Draft and negotiate commercial agreements supporting growth initiatives and strategic partnerships.
• Provide legal support for supply agreements, services agreements, licensing arrangements, and collaboration agreements.
• Partner with business teams on transaction-related commercial matters.

To be successful in this role our client is looking for a:

• J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 3-6 years of corporate transactional or M&A experience in a leading law firm and/or publicly traded company.
• Experience conducting legal due diligence and drafting transaction documents.
• Exposure to acquisitions, divestitures, joint ventures, strategic investments, or private equity transactions.
• Strong drafting, negotiation, organizational, and project management skills.
• Ability to manage multiple workstreams and effectively interact with internal and external stakeholders.
• Experience with cross-border transactions is a plus.
