Job summary

KAPITAL seeks a Funds Associate to work with partners on formation, structuring and ongoing operation of private investment funds and SPVs. You will handle venture capital, private credit, and private equity fund setups and related management companies, focusing on investor negotiations and governance.

The role covers portfolio investments, diligence, closing logistics, and ongoing fund governance. Requires a JD, NY bar admission preferred, and 6+ years of funds experience in a law firm.

Qualifications

• J.D. from an accredited law school and NY bar admission preferred.
• Minimum 6 years of law firm experience in investment funds.
• Experience with fund formation, SPVs and investor negotiations.
• Strong drafting, negotiation and communication skills.

Responsibilities

• Draft and negotiate limited partnership and operating agreements.
• Structure fund entities and SPVs; advise on governance.
• Run investor onboarding and fund closings coordination.
• Advise on exemptions under Regulation D and related filings.
• Lead client communications to manage timelines.
