Job summary

Veralto is seeking a seasoned Director, Mergers & Acquisitions (M&A) and Assistant Corporate Secretary to lead complex transactions and advise senior leaders. You will steer the full M&A lifecycle, from evaluation through integration, while coordinating global teams and governance matters.

You will partner with Corporate Development, Finance, Tax and HR to structure deals, manage risk, and drive strategic value, ensuring alignment with Veralto’s long‑term growth and ESG commitments.

Qualifications

• Juris Doctor (J.D.) degree and active bar membership in the United States or United Kingdom.
• 10+ years of experience leading complex M&A transactions at AmLaw 100 and/or Fortune 500 companies.
• Deep expertise in corporate law, cross-border M&A, and complex negotiations.
• Experience advising senior executives on high-stakes matters and multiple workstreams.
• Experience with global regulatory assessments including antitrust frameworks.

Responsibilities

• Architect and execute public/private M&A transactions across global markets.
• Coordinate due diligence and identify legal/regulatory risks.
• Lead negotiation of LOIs, NDAs, and transaction agreements.
• Manage outside counsel for cost-effective, aligned execution.
• Advise leadership on deal strategy, risk allocation, and integration.
• Partner with Finance, Tax, HR, Compliance on structuring and integration.
• Support subsidiary governance and treasury activities as needed.
• Drive improvements to M&A playbooks and mentor junior attorneys.
