Job summary

Cotiviti seeks a Counsel, Vendor to support the Director, Senior Counsel in managing the full lifecycle of vendor contracts, including negotiation, execution, renewal and termination. You will draft and negotiate MSAs, SaaS and software licenses, BAA and DPA, and provide risk analysis for internal stakeholders.

Ideal candidates have extensive experience with SaaS, platform agreements, HIPAA/CCPA/GDPR, and can advise in a fast-paced, remote environment.

Qualifications

Juris Doctor (JD) from a U.S. ABA-accredited law school with active bar membership.
6+ years of experience negotiating technology and commercial agreements, in-house or at a large law firm.
Strong interpersonal and presentation skills; ability to communicate contract risk clearly.
Experience negotiating SaaS, software licensing, professional services, and platform agreements.
Ability to work independently in a fast-paced, remote environment.

Responsibilities

Draft, review, and negotiate complex vendor agreements including MSA, SaaS/PaaS/IaaS, BAA, DPA, SOW.
Advise stakeholders on contract interpretation, risks, and compliance requirements.
Prepare legal summaries and risk assessments on contract terms.
Maintain contract databases and tracking systems for vendor relationships.
Support contract management processes and cross-functional collaboration.
