Job summary

Cotiviti seeks an experienced Counsel, Vendor to oversee the full lifecycle of vendor contracts, from negotiation through renewal and termination. You will draft, review, and negotiate MSA, software licenses, SaaS agreements, BAAs, and DPAs, advising on legal risk in plain terms.

The role requires strong negotiation, independent work in a fast-paced environment, and knowledge of HIPAA, CCPA/CPRA, and GDPR in healthcare-related agreements. Remote work within the United States is supported.

Qualifications

• JD from a U.S. ABA-accredited law school and active bar membership in good standing in at least one U.S. state.
• 6+ years of experience negotiating technology and commercial agreements, in-house or at a large law firm.
• Strong interpersonal and presentation skills for communicating with all levels of the organization.
• Strong negotiating skills on legal, risk, and commercial issues.

Responsibilities

• Draft, review, and negotiate complex vendor agreements including MSA, software licenses, SaaS/PaaS/IaaS, BAAs, DPA, SOWs, and related agreements.
• Advise internal stakeholders on contract interpretation, risks, and compliance requirements.
• Prepare legal summaries and risk assessments on contract terms and provisions.
• Maintain contract databases and tracking systems for vendor relationships.
• Support contract management processes and workflow improvements.
• Coordinate with compliance, privacy, information governance, and business stakeholders on contract issues.
• Facilitate cross-functional meetings to resolve contract issues and support business objectives.
• Train non-legal teams on contract processes and legal requirements.
• Complete responsibilities as outlined in performance reviews and special projects.
