Job summary

AIR Control Concepts is seeking a Corporate Paralegal to join a growing legal team supporting the General Counsel and 60+ operating affiliates. The role focuses on corporate governance, entity maintenance, contract drafting, and related initiatives across the AIR platform.

Ideal candidates have at least 5 years of paralegal experience, with in-house exposure preferred, and a strong ability to manage multiple projects in a fast-paced, acquisition-driven environment. Hybrid work options available.

Qualifications

• Bachelor’s degree or equivalent combination of education and relevant experience.
• Minimum of 5 years of paralegal experience; in-house experience preferred.
• Experience supporting or managing a large or complex portfolio of entities, governance actions, and recurring compliance obligations.
• Experience drafting and negotiating routine commercial agreements.
• Working knowledge of parent and subsidiary structures, formation and foreign registration requirements, and customary entity governance filings and documents.
• Demonstrated discretion when handling attorney-client privileged, confidential, employee, and transaction-related information.

Responsibilities

• Support the lifecycle of AIR’s domestic and international subsidiaries, including formations, dissolutions, mergers, and restructuring.
• Maintain company records for AIR and its affiliates, including formation documents, governing documents, ownership information, and officer and director records.
• Assist with post-closing legal integration, including entity filings, licensing transfers, updates to standard contracts, and related matters.
• Draft, review, revise, and negotiate routine commercial contracts, including nondisclosure agreements, purchase agreements, and terms and conditions of sale, under attorney supervision.
• Coordinate incoming service of process and other legal notices, ensuring prompt delivery to the General Counsel and/or appropriate operating company.
• Develop practical tools, checklists, and processes that improve the consistency and efficiency of legal support across AIR.
