Job summary

Panasonic Avionics Corporation seeks an experienced Corporate Paralegal to support the legal department in governance, recordkeeping, and compliance for US and international subsidiaries. You will draft and review key corporate documents, maintain records, and assist in corporate transactions and licensing.

The role requires 8–10 years of corporate paralegal experience, knowledge of Delaware corporate law, and ability to coordinate across teams.

Qualifications

  • Degree in law, business, or related discipline; and an emphasis in corporate governance or law is preferred.
  • Paralegal certification from an approved US program is required.
  • A law degree or law school coursework in corporate matters is a plus.
  • 8–10 years of corporate paralegal experience in a multinational or major US firm preferred.

Responsibilities

  • Assist in corporate governance and recordkeeping for US and foreign subsidiaries, including document preparation and filing.
  • Prepare notices, minutes, consents, and corporate certificates for boards and stockholders.
  • Maintain corporate books, licenses, and data sheets; support due diligence for M&A, restructurings, and registrations.
  • Coordinate with registered agents and facilitate notarization, apostille, and legalization of documents.
