The role emphasizes drafting, transaction execution, and independent handling of matters from start to finish in a fast-paced, remote‑first environment.

Qualifications

• 8+ years of corporate paralegal experience.
• Experience supporting venture transactions and corporate governance.
• Strong drafting and project management skills.

Responsibilities

• Support venture financings and corporate transactions, coordinating with outside counsel.
• Execute transactions from signatures to closing and post‑closing matters.
• Maintain master data room and corporate records accuracy.
• Manage governance, entity administration, state filings, and cap tables.
• Administer equity plans and grants, including reconciliations.
• Draft and manage routine corporate documents with sound judgment on escalation.
• Design AI-enabled legal intake and triage workflows for an asynchronous environment.
• Create templates and automation for recurring legal processes such as NDAs and approvals.
