Job summary

OpenLoop is seeking a Corporate Counsel to join our team remotely or at HQ in Des Moines, IA. You will own general corporate matters, governance, and entity management across OpenLoop and its subsidiaries, serving as the internal expert on how our corporate structure works as the company scales.

You will support M&A and financing activity from the corporate side, but your center of gravity is governance, cap table support, diligence readiness, and entity hygiene across a multi-entity

Qualifications

• JD from an ABA-accredited law school and an active license to practice in at least one U.S. jurisdiction
• 4–6 years of corporate law experience from a law firm, in-house team, or both
• Hands-on experience owning entity governance and corporate maintenance for a multi-entity organization
• Experience supporting financings and M&A from the corporate side, including diligence and data rooms
• Highly detail-oriented with strong project management and ability to run multiple workstreams independently
• Clear communicator who provides proactive status updates and cross-functional collaboration

Responsibilities

• Own subsidiary governance and corporate hygiene across OpenLoop and its subsidiaries, including organizational documents and consents
• Build and maintain governance calendars, templates, and entity records to make governance repeatable
• Draft, negotiate, and maintain intercompany agreements and restructuring docs
• Support capitalization table accuracy, including equity issuances and transfers
• Run corporate diligence for financings and transactions with data rooms and closing checklists
• Own defined workstreams on M&A and strategic transactions, including post-closing governance
• Advise on entity structure questions for Finance, Accounting, Compliance, and Operations
• Support licensing and regulatory filings that depend on corporate structure
• Identify regulatory risk and propose a path forward with solutions
• Manage outside counsel on governance, entity, and filing matters
