Job summary

OpenLoop Health is seeking a Corporate Counsel to manage general corporate matters, governance, and entity hygiene across OpenLoop and its subsidiaries. This role can be remote or based at our Des Moines HQ, focusing on keeping structures clean as the company scales.

You will support M&A activity and financings from the corporate side, while maintaining governance, cap tables, and compliance readiness. Strong communication and project management are essential for cross-functional collaboration

Qualifications

• JD from ABA-accredited law school and active license in at least one US jurisdiction.
• 4-6 years of corporate law experience in a law firm or in-house setting.
• Hands-on experience owning entity governance for a multi-entity organization.
• Working command of cap tables, equity issuances, board governance mechanics, entity management, and state registrations.
• Experience supporting financings and M&A from the corporate side, including due diligence and closing mechanics.

Responsibilities

• Own subsidiary governance and corporate hygiene across OpenLoop and its subsidiaries, including organizational documents, board and stockholder consents, officer and director appointments, state registrations and good standing maintenance.
• Build and maintain the operating model for corporate maintenance — governance calendars, consent and resolution templates, entity records, and signing authority documentation.
• Draft, negotiate, and maintain intercompany agreements and internal restructuring documentation, aligning with Finance, Tax, and Accounting.
• Support capitalization table accuracy, including equity issuances, option grants, transfers, and reconciliation with Finance and our equity platform.
• Run corporate diligence for financings and transactions: data rooms, diligence responses, officer certificates, closing checklists and signature packets.
• Own defined workstreams on M&A and strategic transactions, including drafting and negotiating corporate documents, diligence, formation, and post-closing matters.
