Job summary

OpenLoop in Des Moines, IA is seeking a Corporate Counsel to manage governance, entity management, and cross-entity transactions across subsidiaries. The role will support M&A and financing activities while maintaining clean corporate structure as the company scales.

The position can be remote or based at HQ in Des Moines, IA, requiring JD and 4–6 years in corporate law, with strong governance and regulatory know-how. Collaboration with Finance, Tax, and Compliance is essential.

Qualifications

• JD from ABA-accredited school or equivalent.
• 4–6 years corporate law experience in firm or in-house.
• Hands-on governance and multi-entity entity management experience.
• Experience supporting financings and M&A from corporate side.
• Strong attention to detail and project management.

Responsibilities

• Own subsidiary governance and corporate hygiene across OpenLoop and its subsidiaries.
• Build governance calendars, templates, entity records, and signing authority documents.
• Draft, negotiate, and maintain intercompany agreements and internal restructuring docs.
• Support capitalization table accuracy including equity issuances and grants.
• Run corporate diligence for financings and transactions; manage data rooms and closing checklists.
• Lead defined workstreams on M&A and strategic transactions.
• Advise on entity structure for various teams and regulatory needs.
• Support licensing and multi-state registrations.
• Identify and elevate corporate/regulatory risk with recommended paths.
• Manage outside counsel on governance, entity, and filing matters.
