Qualifications

• 5+ years working as a corporate attorney or general counsel
• Ownership of M&A transactions and governance matters
• Fluency in corporate law tooling and regulatory requirements
• JD with bar admission or international equivalent

Responsibilities

• Create corporate law scenarios for large-scale M&A transactions and governance processes
• Develop tasks across M&A, deal structuring, securities, and contracts
• Develop legal scenarios using Westlaw, Lexis, VDRs (Intralinks, Datasite) and CLM platforms
• Apply law methodologies to jurisdictional tracks (US: Delaware law, SEC rules; UK, EU)
• Author rubrics distinguishing authentic corporate law judgment from recall
• Work independently and asynchronously to deliver impactful legal evaluation tasks
