Responsibilities

• Construct corporate law scenarios for large‑scale M&A transactions, multi‑party deal negotiation, and complex governance processes.
• Build tasks across M&A, deal structuring, securities, governance, contracts, and restructuring.
• Develop legal scenarios using tools like Westlaw, Lexis, and virtual data rooms (Intralinks, Datasite), and CLM platforms.
• Apply corporate law methodologies to jurisdictional tracks (US: Delaware General Corporation Law, SEC rules; UK Companies Act 2006, EU directives).
• Author rubrics distinguishing authentic corporate law judgment from recall-based work.
• Work independently and asynchronously to create impactful legal evaluation tasks.
