Job summary

JOBOT is seeking an experienced Associate Attorney to join its Corporate group, offering remote work with a requirement to reside in specified regions within the United States. The role focuses on corporate transactional work, including finance transactions, mergers, governance, and growth strategies.

The ideal candidate will draft remedies, advise on fund raising, and manage negotiations with minimal oversight, supported by a comprehensive benefits package and discretionary bonuses.

Qualifications

• J.D. with strong academic performance and bar in good standing.
• Experience drafting board/shareholder resolutions, convertible notes, operating agreements, and incentive plans.
• Experience with IP rights, risk mitigation, contract drafting, corporate governance, financing, indemnification, restructuring, and fund raising.
• Expertise in corporate formation and start-up activities, contract review, negotiations, and IP law.

Responsibilities

• Structure, negotiate, document, and manage various transactions.
• Provide strategic business and legal advice to clients on general matters.
• Advise clients on legal rights, contractual responsibilities, and other matters arising from agreements.
• Advise on changes in law regarding restrictive covenants in employment.
• Establish and maintain key stakeholder relationships with regular communications on deal negotiation and business strategy.
• Contribute to internal processes and deal-making resources.
