Job summary

Jobot is seeking an experienced Associate Attorney to join our Corporate group as a remote, nationwide role. The ideal candidate will handle finance transactions, mergers, governance, and growth funding for diverse clients in a 100% remote capacity.

Requirements include a J.D. with strong academics and bar admission; extensive drafting of board resolutions, operating agreements, and related documents; plus experience in corporate governance, fundraising, and IP matters.

Qualifications

• J.D. with strong academic performance and bar license in good standing.
• Experience drafting board/resolutions for fundraising or remediation; convertible notes; operating agreements; amended/restated articles; employee incentive or synthetic incentive plans and grants.
• Experience with corporate governance, financing, indemnification, restructuring, and fund raising.
• Expertise in corporate formation/start-up activities, contract review, negotiations, and intellectual property law.

Responsibilities

• Structure, negotiate, document, and manage various transactions.
• Provide strategic business and legal advice to clients on general legal matters.
• Advise clients on legal rights, contractual responsibilities, and other matters arising from agreements.
• Advise on changes in law regarding restrictive covenants as they relate to employment.
• Establish and maintain stakeholder relationships with regular communications concerning deal negotiation and business strategy.
• Contribute to internal process development and deal-making resources.
