Job summary

Canto, a leader in digital asset management, is seeking a Commercial Counsel to build and scale a modern in‑house legal function focused on strategic contracting.

You will own end‑to‑end contracting operations for SaaS agreements, implement CLM and AI‑driven workflows, and partner with Sales, Finance, Security, and Product.

Ideal candidates have 5–8 years in SaaS law, strong negotiation skills, and experience navigating GDPR/CCPA, with comfort in a fast‑growing scale‑up environment.

Qualifications

• 5–8 years of legal experience in SaaS or technology, in-house or a mix of law firm and in-house.
• Strong experience negotiating commercial SaaS agreements, including MSAs, subscription agreements, DPAs, and NDAs.
• Working knowledge of data privacy frameworks, including GDPR, CCPA, and related regulations.
• Demonstrated ability to operate independently, build processes from scratch, and establish legal infrastructure in a scaling environment.

Responsibilities

• Own negotiation and execution of commercial SaaS agreements—MSAs, subscriptions, DPAs, and NDAs—while enabling rapid business operations within guardrails.
• Lead end-to-end contracting operations and implement a CLM system with templates, playbooks, approvals, and authority controls.
• Manage data privacy responsibilities including GDPR/CCPA alignment and monitor regulatory requirements across geographies.
• Partner with Sales, Security, Product, and Executive Leadership on emerging legal and regulatory requirements related to AI, data governance, and IP.
