Remote Commercial Counsel — AI‑Driven SaaS Contracts

Job summary

Canto is hiring its first in-house legal leader to design and scale a modern contracting function for a fast-growing SaaS company. The role focuses on commercial contracting as a growth driver, reporting to the CFO, and building AI-enabled processes to speed deals.

You'll own end-to-end contracting, implement CLM, guide Sales, handle privacy work with GDPR/CCPA, and collaborate with Security and executives on AI and data governance.

Qualifications

• JD and active bar membership in good standing.
• 5–8 years of legal experience in SaaS or technology, in-house or a mix.
• Experience negotiating commercial SaaS agreements (MSAs, subscription agreements, DPAs, and NDAs).
• Working knowledge of GDPR, CCPA, and related data privacy regulations.
• Demonstrated ability to operate independently, build processes from scratch, and scale legal infrastructure.
• Experience partnering with Sales and go-to-market teams in a high-velocity environment.
• Interest in legal technology and AI-driven workflows.

Responsibilities

• Drive negotiation and execution of commercial SaaS agreements with guardrails.
• Scale contracting operations with an AI-enabled operation and CLM system implementation.
• Manage CLM templates, negotiation playbooks, approval workflows and delegation of authority.
• Leverage AI tools for contract review, risk flagging, and workflow automation.
• Partner with Security, Product, and executives on AI, data governance and regulatory requirements.
• Serve as the primary legal advisor across commercial matters and manage outside counsel relationships across US and Europe.
