Friedman Williams in Boston is seeking a Commercial Real Estate Paralegal to support a busy transactional practice. The ideal candidate will have strong experience with commercial real estate transactions, closings, title and survey review, and leasing.

Experience with affordable housing transactions is a significant plus. Residential real estate experience alone will not be considered. This is a long-term, stable position with ownership of substantive CRE matters.

Qualifications

  • 3–5+ years of commercial real estate paralegal experience.
  • Strong understanding of commercial real estate closing procedures and documentation.
  • Hands-on experience with purchase and sale and/or loan transactions.
  • Experience with title, surveys, legal descriptions, and title insurance.
  • Commercial leasing experience strongly preferred.
  • Affordable housing experience is a significant plus.

Responsibilities

  • Support CRE purchase and sale and loan transactions through closing.
  • Prepare and maintain closing checklists, transaction trackers, and other deal documents.
  • Draft and prepare purchase and sale agreements, estoppel certificates, subordination agreements, UCC filings, organizational documents, resolutions, affidavits, and related closing documents.
  • Coordinate with clients, lenders, attorneys, title companies, banks, and other parties to ensure transactions remain on schedule.
  • Obtain and coordinate releases, corporate certifications, and other documentation required for closing.
  • Prepare closing statements, including adjustments, lender costs, and disbursements.
  • Coordinate document execution, funding, recording, and post-closing requirements.
  • Order and review title and municipal searches.
  • Review title commitments and coordinate title clearance with attorneys and title companies.
  • Order and review surveys and compare metes and bounds descriptions against legal descriptions and title information.
  • Assist with preparation of title insurance policies for lenders and clients.
  • Maintain title insurance files, forms, reports, and related procedures.
  • Review commercial leases and prepare lease abstracts and summaries.
  • Assist attorneys with leasing-related transactions and documentation.
  • Coordinate lease-related documentation and communications with clients, attorneys, and other parties.
  • Gather, organize, proofread, categorize, and index closing documents.
  • Prepare and assemble final closing binders and electronic closing files.
  • Follow up on missing documentation and outstanding post-closing items.
  • Maintain accurate transaction files and databases.
  • Prepare and file applicable closing-related governmental forms, including 1099-S forms.

Salary: $90,000–$110,000, potentially flexible based on experience

Position Overview:

Experience working with affordable housing transactions is a significant plus. Residential real estate experience alone will not be considered.

Key Responsibilities
  • Support attorneys with commercial real estate purchase and sale and loan transactions from initial documentation through closing.
  • Prepare and maintain closing checklists, transaction trackers, and other deal-related documents.
