Job summary

American International Group, Inc. (AIG) is seeking a Securities Paralegal to support the primary SEC reporting paralegal in the Corporate Secretary’s Office. You will assist with public company reporting requirements and general corporate matters.

Key duties include drafting Form 3/4/5, aiding the annual proxy, governance matters, and Form 10-Qs, while helping implement reporting best practices and liaising with the transfer agent. A paralegal background and strong research skills are essential.

Qualifications

  • 3+ years in a major public corporation and/or law firm.
  • Knowledge of 34 Act requirements (Section 16).
  • Strong organizational skills and attention to detail.
  • Excellent communication and coordination abilities.

Responsibilities

  • Draft and file Section 16 filings (Forms 3, 4 and 5).
  • Assist in preparing the annual proxy statement and audit support.
  • Support corporate governance matters and annual meeting prep.
  • Help with periodic 34 Act reports (Form 10-Q).
  • Establish and implement reporting and entity-management best practices.
  • Manage insider trading policy processes and liaise with transfer agents.
  • Conduct legal research and benchmarking; assist on other projects.
