Job summary

Brown & Brown is seeking a Securities and Corporate Governance Counsel/Assistant Corporate Secretary to join our Daytona Beach team. The role supports the Chief Securities and Corporate Governance Counsel in overseeing corporate governance, securities compliance, equity programs, and entity management.

The ideal candidate will bring public company governance experience, strong SEC/NYSE knowledge, and cross-functional collaboration skills to drive governance excellence and strategic transactions.

Qualifications

• JD required and strong governance background in public companies or major law firms.
• Deep knowledge of SEC reporting, NYSE listing standards, and governance requirements.
• Experience administering equity compensation programs and insider compliance.

Responsibilities

• Assist in corporate governance administration for the Board and committees, including agendas, minutes and materials.
• Support SEC and NYSE compliance, including 10-K/10-Q filings and proxy materials.
• Coordinate with internal teams on equity grants, vesting events, and insider trading controls.
• Oversee domestic and international entity records, filings and governance.
• Support mergers, acquisitions, due diligence, and post-closing governance integration.
• Collaborate with Legal, Finance, Investor Relations and external advisors.
