Job summary

Valley Bank seeks an experienced Assistant General Counsel—Securities & Corporate Governance to support SEC reporting, governance, and board operations. You will collaborate with finance, investor relations, HR, internal audit, and risk teams in a dynamic, client-facing corporate environment.

The role reports to the Deputy General Counsel & Corporate Secretary and can be based in multiple markets, including NYC, northern New Jersey, and other regional offices.

Qualifications

• Strong knowledge of SEC rules, Sarbanes-Oxley and listing requirements.
• Experience drafting and editing disclosure filings and governance docs.
• Ability to coordinate with executive management and cross-functional teams.

Responsibilities

• Provide legal support on SEC reporting, governance, and corporate law matters.
• Assist with board materials, meeting scheduling, minutes, and director onboarding.
• Oversee entity management and corporate governance databases.
• Assist with M&A and other transactional matters.
• Supervise corporate secretarial staff and advise on regulatory changes.
• Monitor changes in securities regulation and governance best practices.
