Job summary

NextDecade seeks a Counsel, Corporate to advise on governance, securities law, and finance matters for a public company. You will partner with senior leadership and cross-functional teams to ensure SEC reporting and regulatory compliance.

The role involves supporting capital markets transactions, drafting board materials, and coordinating with external counsel while promoting ethics and policy development across the organization.

Qualifications

• Juris Doctor (JD) and active U.S. license to practice law.
• Minimum 5+ years of legal experience advising public companies.
• Experience in securities law, SEC reporting and compliance.
• Experience with capital markets and corporate finance transactions.
• Strong organizational, multitasking and cross-functional collaboration skills.

Responsibilities

• Support public company governance and securities law compliance, including SEC filings.
• Prepare board and committee materials and Section 16 filings.
• Assist with debt financings, working capital facilities and derivatives.
• Provide legal support to Investor Relations on press releases and proxy materials.
• Develop corporate policies and coordinate outside counsel as needed.
