Our client a leading alternative asset manager with a global investment platform focused on private credit, special situations, distressed investing, and private equity opportunities. The legal team plays an integral role in supporting the firm's investment activities and business operations. As the organization continues to grow, they are seeking an attorney to join a lean, highly collaborative legal department. This individual will work closely with investment professionals, compliance personnel, senior management, and external counsel on a broad range of legal and business matters.
This is an excellent opportunity for an attorney seeking a highly visible in-house role with exposure to transactions, fund operations, corporate governance, regulatory matters, and strategic business initiatives.
Responsibilities:
- Review, draft, and negotiate NDAs, engagement letters, vendor agreements, and other commercial contracts.
- Support investment transactions from inception through closing, including coordination with investment teams and external counsel.
- Assist in the review, preparation, and management of transaction documentation, closing materials, and post-closing obligations.
- Advise on corporate governance matters, including board resolutions, written consents, organizational documents, and corporate record maintenance.
- Support the formation, maintenance, restructuring, and dissolution of fund entities, SPVs, and other legal entities across multiple jurisdictions.
- Oversee legal entity management processes and maintain related organizational records and databases.
- Assist with regulatory filings, certifications, registrations, and ongoing reporting obligations.
- Partner with compliance and business teams on regulatory and internal compliance initiatives, including restricted list and watch list administration.
- Support AML/KYC and other diligence processes involving fund entities, counterparties, investors, lenders, and service providers.
- Coordinate and manage relationships with external law firms and service providers.
- Provide legal support across a wide range of ad hoc matters affecting the firm's investment and operating businesses.
Qualifications:
- J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction
- 2+ years of legal experience, preferably in-house or at a law firm working on Private Equity or M&A transactions
- Experience advising private equity, private credit funds, hedge funds, alternative asset managers, investment advisers, or other financial institutions
- Experience reviewing and negotiating commercial agreements and transaction-related documents.
- Familiarity with corporate governance, entity management, and fund structures, including SPVs and investment vehicles.
- Comfortable operating in a fast-paced, entrepreneurial environment with significant responsibility and autonomy.
- Strong interpersonal and communication skills with the ability to interact effectively with investment professionals, executives, and external advisors.
