We are representing a leading $8Bn+ AUM alternative investment manager in Denver in its search for a Counsel / Senior Counsel.
This is a broad in-house opportunity for an investment management attorney to join a lean legal and compliance team and work closely with senior leadership across the firm. The role will support a range of private fund matters, including fund formation, investor documentation, regulatory matters, and ongoing fund operations across multiple investment strategies.
The team is looking for a practical, commercially minded attorney who can take ownership of day-to-day matters, work closely with the investment and investor relations teams, and provide clear legal guidance without overcomplicating issues.
Responsibilities
- Support fund formation, structuring, and ongoing fund matters across open-end and closed-end strategies
- Draft, review, and negotiate LPAs, side letters, subscription agreements, PPMs, and related fund documentation
- Advise on investor negotiations and ongoing investor-related matters
- Support regulatory and compliance matters relating to private funds and registered investment advisers
- Advise on AML/KYC matters and related investor onboarding requirements
- Work closely with outside counsel on fund launches, amendments, and other fund-related matters
- Partner with investment, investor relations, finance, and senior leadership on day-to-day legal matters
- Provide practical, business-focused advice across a broad range of legal and regulatory issues
- Support broader corporate, governance, and firmwide legal matters as needed
Experience
- Juris Doctor (JD) degree and admission to a U.S. state bar
- Approximately 4 to 6 years of legal experience, ideally within a leading investment management or private funds practice
- Strong experience with private fund formation and ongoing fund matters
- Experience drafting and negotiating LPAs, side letters, subscription agreements, and related fund documentation
- Familiarity with Investment Advisers Act and private fund regulatory matters
- Experience across multiple private fund strategies preferred
- Prior in-house experience helpful but not required
- Strong drafting, negotiation, and issue-spotting skills
- Practical, business-minded approach with the ability to operate effectively in a lean environment
Location & Compensation
- Five days per week in office
- Total compensation: approximately $320,000-$350,000
