Job summary

An Am Law 100 firm seeks a mid-level Corporate Associate with substantial private equity and M&A experience to join its transactional practice. The role offers exposure to sophisticated transactions and responsibility within a seasoned team of corporate attorneys in multiple locations including Chicago, NY, and DC.

Qualifications

• 4-6 years of corporate transactional experience, with a substantial focus on private equity.
• Experience representing private equity sponsors in M&A transactions.
• Strong drafting and negotiation skills, including experience with purchase agreements and other transaction documents.
• Ability to manage multiple transactions, coordinate deal teams, and oversee closing processes.
• Experience working directly with clients and collaborating with partners and other attorneys.
• Excellent academic credentials, organizational skills, and attention to detail.
• Admission to the applicable state bar or eligibility for admission.

Responsibilities

• Represent private equity sponsors and other clients in acquisitions, dispositions, leveraged transactions, recapitalizations, and related corporate matters.
• Structure and execute transactions, draft and negotiate principal agreements, coordinate due diligence, and manage deal processes.
