Job summary

Aligned Talent Acquisition is seeking a Private Equity & Mergers & Acquisitions Associate Attorney for its Chicago office in a hybrid role. This AmLaw 100 opportunity offers substantial responsibility and exposure to complex middle-market deals.

The ideal candidate has 5–7 years of PE/M&A or corporate transactional experience, a JD from an ABA-accredited law school, and Illinois bar admission (or ability to obtain). Competitive compensation and strong mentorship are offered.

Qualifications

• 5–7 years of PE, M&A or corporate transactional experience at a sophisticated law firm.
• Experience representing PE sponsors, portfolio companies, strategic buyers, sellers, and independent sponsors.
• Experience leading acquisitions, dispositions, buyouts, recapitalizations and growth investments.
• Experience drafting and negotiating purchase agreements, merger agreements and related docs.
• Experience coordinating due diligence and managing deal execution to close.
• Advising on corporate governance, formation and ongoing corporate matters.
• Healthcare transactions or sponsor-backed PE deals preferred.
• Excellent drafting, negotiation, analytical and communication skills.

Responsibilities

• Represent clients in sophisticated PE and M&A transactions from LOI to closing.
• Lead deal teams, coordinate due diligence and draft/ negotiate key docs.
• Advise on governance, entity formation and ongoing corporate matters.
