The role includes structuring profits interests, LLC incentives, rollover equity, and holdco arrangements for portfolio companies.

The candidate should have M&A experience with privately held firms and strong command of IRC 280G and 409A regulations, with excellent writing and communication skills. EOE

Qualifications

• 5+ years of experience advising on executive compensation and employee benefits
• Experience representing private equity sponsors in acquisitions and divestitures
• Excellent written and oral communication and analytic abilities

Responsibilities

• Advise on executive compensation and employee benefits matters for portfolio companies and deals
• Represent private equity sponsors in acquisitions, divestitures, and related restructurings
• Handle day-to-day portfolio company matters including profits interests, LLC incentives, holdco vehicles, rollover equity, and employment/severance arrangements
• Assist with M&A involving privately held entities and IRC sections 280G and 409A compliance
• Deliver clear, persuasive writing and analysis for client presentations and closing documents
