Qualifications

• Prior work experience in an investment banking front office role (e.g., structured M&A, structured finance, project finance)
• Experience designing and negotiating bespoke transaction structures – setting economic terms and governance
• Interest in private capital, minority M&A, and structured transactions with governance considerations

Responsibilities

• Collaborate with industry teams to analyze optimal transaction structures and financial models for non-control deals
• Identify suitable investor universe and conduct outreach with potential partners
• Lead structuring workstreams on live mandates, negotiating terms across non-control structures
• Assess risk/return dynamics as structures are flexed and articulate trade-offs
• Prepare transaction marketing materials and term sheets; manage end-to-end process from launch to signing
• Serve as primary day-to-day client contact and lead banker on deals
• Coordinate with internal and external parties (lawyers, accountants) during transactions
• Evaluate investor proposals and governance provisions; support negotiations
• Present materials to JPMorgan clients with industry/product teams
