Corbin Consulting Engineers is seeking a part-time Contract Review Specialist to support review, development, and negotiation of contracts and professional service agreements. You will work with business development, engineering, project managers, and leadership to identify risks and provide clear markups for negotiations.

This role supports the Administrative department and offers flexible hours for up to 20 hours per week, with a focus on reducing risk and improving contract language.

Qualifications

• Juris Doctor, paralegal certification, or related degree with contract-review experience.
• 3+ years reviewing, drafting, negotiating, or administering commercial or professional service contracts.
• Experience as attorney, paralegal, contracts specialist or related role preferred.
• 1+ years reviewing architecture, engineering, construction or professional services agreements preferred.
• Experience advising on liability, indemnification, insurance, standard of care and liability limits.
• Ability to draft templates, clauses, negotiation guidance, or review procedures is a plus.

Responsabilités

• Review client contracts, proposals, agreements, amendments, subconsultant agreements for risk.
• Identify high-risk provisions and provide clear recommendations for changes.
• Prepare markups and redlines for internal staff and leadership.
• Review indemnification, liability, insurance, warranties, IP, confidentiality, payment terms, termination.
• Explain contractual concerns clearly to non-legal stakeholders.
• Respond to follow-up questions on language, revisions, and negotiation considerations.
• Develop and improve standard contract language, templates, and fallback provisions.
• Maintain library of commonly negotiated clauses and recommended language.
• Establish consistent contract review standards and best practices.
• Identify recurring issues and suggest risk-reduction opportunities.
• Maintain organized records of contract reviews and correspondence.
• Handle confidential information with discretion.
