IRG Ventures, LLC is seeking a capable Paralegal to keep all portfolio entities in good standing, coordinate with outside counsel, and be the go-to contact for legal matters. This high-autonomy role lives on a small team, focusing on governance, contracts, litigation, and compliance.

You will maintain entity records, draft and review contracts, and manage essential filings, with strong emphasis on accuracy and discretion in a fast-paced environment.

Qualifications

• Active paralegal certification in good standing at hire.
• Five to seven years paralegal experience in-house or law firm.
• Experience drafting commercial contracts and maintaining entity records.
• Knowledge of corporate governance, formation, and state filings.
• Proficient in Word processing, Excel, Outlook, and Adobe Acrobat; e-sign platforms.
• Discretion with confidential information and strong writing.

Responsabilités

• Draft, review, and redline communications with the GC, ensuring clarity and accuracy.
• Coordinate with external partners, track deadlines, and move matters forward.
• Maintain portfolio entity records across jurisdictions, including consents and cap table.
• Support litigation and customer matters; compile facts for attorney review.
• Track regulatory filings, licenses, and renewals; review materials for standards.
• Manage document management system and retention schedule across teams.
