Job summary

Fernridge Group is seeking a Paralegal to join its Legal & Compliance function. The successful candidate will work closely with the GC/CCO and gain exposure across the firm, supporting a broad range of corporate, transactional, fund and regulatory matters.

The role offers day-to-day support across legal operations, including investment transactions, fund and entity management, corporate governance, and general legal operations.

Qualifications

  • 3+ years of paralegal experience within a law firm, private equity firm or investment manager.
  • Exposure to corporate transactions, private funds, investment management or corporate governance is a plus.
  • Strong organizational skills and exceptional attention to detail.
  • Strong written and verbal communication skills.
  • Comfortable interacting with professionals across all levels of an organization.
  • Proactive, resourceful and willing to take ownership of projects.
  • High degree of professionalism, judgment and discretion.
  • Bachelor's degree required; paralegal certificate is a plus.

Responsibilities

  • Assist the team with the execution and closing of private equity transactions, including organizing closing documents, signature pages and transaction materials
  • Maintain corporate records, organizational documents, minute books and entity information for the firm, its funds and related entities
  • Assist with the formation, maintenance and dissolution of legal entities
  • Prepare and coordinate board and committee materials, resolutions, written consents and other corporate governance documentation
  • Manage signature processes and maintain executed agreements and legal records
  • Assist with NDAs, engagement letters, vendor agreements and other routine contracts
  • Support legal due diligence and document organization related to new investments, add-on acquisitions and other transactions
  • Assist with regulatory filings, compliance documentation and recordkeeping
  • Maintain legal and compliance calendars and help track key filing, reporting and contractual deadlines
  • Help develop and improve processes, templates and systems as the firm continues to grow
  • Provide additional support to the Legal & Compliance team on a variety of projects and firmwide initiatives

Job description

Our client, a rapidly growing, $2b+ private equity firm, is seeking a Paralegal to join its Legal & Compliance. The Paralegal will work closely with the GC/CCO and have exposure across the firm, supporting a broad range of corporate, transactional, fund and regulatory matters. The team is lean, highly collaborative and looking for someone who enjoys taking ownership, working across multiple priorities and being part of a growing platform.

The Role:

This is a broad role that will offer significantly more exposure than a traditional law firm or highly siloed in-house paralegal position.
