Job summary

APi Group in New Brighton, MN is seeking a proactive Corporate Paralegal to support the Mergers and Acquisitions and Corporate Counsel teams. This role will assist with domestic and cross-border transactions, governance, and entity management.

You will manage due diligence, data rooms, and closing checklists while collaborating with internal clients and outside counsel. 3+ years of paralegal experience in M&A or corporate matters is preferred.

Qualifications

  • Bachelor’s degree or paralegal certificate or equivalent experience.
  • 3+ years of substantive paralegal experience supporting M&A, corporate transactions, and governance matters.

Job description

APi Group is seeking a proactive, detail-oriented, and highly organized Corporate Paralegal to join our Mergers and Acquisitions and Corporate Counsel teams in New Brighton, MN.

This position will support the legal team on a broad range of domestic and cross-border mergers and acquisitions, financings, corporate governance, entity management and general commercial transactions.

Key Responsibilities
  • Support attorneys throughout all phases of M&A transactions, including acquisitions, divestitures, mergers, reorganizations, joint ventures, and strategic investments.
  • Coordinate and manage legal due diligence processes, including reviewing, organizing, and summarizing corporate records, material contracts, litigation matters, intellectual property, employment materials, real estate documents, and regulatory filings.
  • Establish, maintain, and administer virtual data rooms; manage document requests, uploads, permissions, indexes, and closing deliverables.
  • Prepare, review, and organize transaction documents, including disclosure schedules, board and stockholder consents, officer certificates, closing checklists, signature packets, and ancillary agreements.
  • Assist with transaction closings, including coordinating execution of documents, compiling closing sets, tracking conditions precedent, and preparing and distributing closing binders.
  • Prepare and file formation, qualification, amendment, dissolution, and DBA documents for corporations, LLCs, and other entities with applicable state and governmental authorities.
  • Support and assist with subsidiary management and board governance including draft board resolutions, written actions and meeting minutes for both transactions and general corporate matters.
  • Utilize AI for expediency and has the skill set to further build out the legal AI capabilities.
  • Conduct corporate, UCC, lien, judgment, litigation, and other public-record searches; coordinate with registered agents, filing services, and third-party vendors.
  • Communicate professionally and effectively with clients, opposing counsel, co-counsel, service providers, and internal legal and administrative teams.
  • Contribute to the continued development of efficient workflows, templates, matter-management practices, and legal technology tools within the Corporate practice.
Qualifications
  • Bachelor’s degree, paralegal certificate, or equivalent combination of education and relevant professional experience.
  • 3+ years of substantive paralegal experience supporting M&A, private equity, corporate transactions, and/or corporate governance matters at a law firm or within the legal department of a large corporation.
  • Demonstrated experience supporting complex transactions from diligence through closing.
  • Strong working knowledge of entity formation, subsidiary management and governance documents, corporate records, and transaction-closing processes.
  • Experience with virtual data rooms, entity-management platforms (Diligent), document-management systems, and Microsoft Office Suite, particularly Excel, Word, and PowerPoint.
  • Experience and expertise with legal AI platforms
  • Familiarity with legal research and public-record search resources, including Secretary of State and UCC filing systems.
  • Exceptional attention to detail, organizational skills, judgment, and follow-through.
  • Availability to work additional hours as needed to support transaction timelines and closings.
Benefits and Compensation

This role is based in our New Brighton, MN office. The salary range for this position is $90,500 - $135,700 depending on job-related knowledge, skills, and experience. This position is eligible for annual bonus and profit sharing based on individual and company performance.
