The People Of: Professional Services in Palo Alto is seeking a mid-level Corporate Associate (3–4 years PQE) with VC or tech/life sciences experience to work on start-ups, financings, IPOs, and public company reporting.

You will collaborate closely with clients, manage junior staff, and provide governance counsel in a fast-paced, entrepreneurial environment.

Qualifications

An elite corporate law team is seeking a mid-level Corporate Associate (3–4 years PQE) with experience in tech and life sciences to join its Palo Alto office. This role offers hands-on exposure to start-ups, venture capital financings, IPOs, and public company reporting, with the opportunity to work directly with clients and manage a team of associates and paralegals.

About The Team

Join a collaborative corporate group advising innovative tech and life science companies across funding rounds, equity financings, IPOs, and M&A transactions. The team is known for its client-focused approach, mentorship, and entrepreneurial culture.

Key Responsibilities

• Lead and support VC/private financings, IPOs, and other corporate transactions
• Draft and negotiate corporate agreements and related documentation
• Supervise and coordinate associates and paralegals on deal execution
• Advise clients and investors on corporate governance and reporting
  
  

Who You Are

• 3–4 years of corporate transactional experience, ideally with VC or tech/life sciences clients
• Skilled in drafting and negotiating financing and corporate agreements
• Proven ability to manage deal flow and coordinate teams
• Strong analytical, communication, and drafting skills
• Member of a U.S. Bar in good standing
