Job summary

Qualifications

• Bachelor’s degree required.
• 5+ years of corporate or securities paralegal experience.
• Strong knowledge of SEC reporting & governance practices.
• Experience with board management portals and equity platforms a plus.
• Attention to detail, organization, and multitasking.
• Excellent written and verbal communication; confidentiality.

Responsibilities

• Maintain board and committee meetings calendar.
• Manage insider trading policy calendar and preclearance documents.
• Coordinate, manage and support annual general meeting of stockholders.
• Prepare and distribute Directors & Officers questionnaires.
• Assist in drafting reports for board committees and leadership.
• Support maintenance of the Diligent board portal and records.
