Medpace, a Cincinnati-based full-service CRO, seeks an on-site corporate attorney to join Corporate Affairs. You will support domestic and international subsidiaries across commercial transactions, governance, privacy, employment matters, and regulatory compliance.

The role requires 3–5 years of relevant experience, Ohio Bar admission or eligibility, and strong negotiation and drafting skills. This is an in-house position with growth opportunities and cross-functional collaboration.

Qualifications

• Juris Doctorate from an accredited law school.
• Bar admission in Ohio or eligibility.
• 3–5 years of relevant law firm or in-house experience.
• Knowledge of contracts, corporate law, compliance, governance, collections, and litigation.
• Excellent negotiation, drafting, analytical, and interpersonal skills.

Responsabilités

• Review, draft, and negotiate domestic and foreign agreements, including SaaS / technology licenses. Manage third-party contracting process and workflows.
• Assist legal team in drafting and updating corporate compliance policies and SOP's. Advise management on corporate policies, bylaws, and resolutions.
• Monitor changes in local, state, federal, and foreign laws and regulations, including government contracting, and advise management accordingly.
• Identify potential legal and business risks in operations, strategic planning, and business development activities. Escalate legal risks to members of management, along with recommendations for resolution.
• Identify appropriate outside counsel and oversee/coordinate outsourced legal work;
• Provide or arrange for legal services for enterprise-wide or entity-wide scope support and administrative functions.
