Job summary

Qualifications

• Knowledge of cash flow waterfalls and priority of payments mechanics.

• Work on sophisticated structured finance and securitization transactions across a range of asset classes, including warehouse financings, receivables programs, asset-backed lending facilities, collateralized loan obligations (CLOs), and other structured credit products, representing issuers, investors, trustees, underwriters, and other market participants.
• Requires experience drafting and negotiating structured finance documentation (e.g., indentures, pooling and servicing agreements, receivables purchase agreements, warehouse lending facilities), familiarity with one or more securitized asset classes (e.g., consumer and commercial loans, trade receivables, mortgage loans, auto loans/leases, or esoteric assets), and an understanding of credit enhancement structures, cash flow waterfalls, and priority of payments mechanics.
