The position emphasizes drafting, due diligence, client relations, and mentorship of junior staff, with competitive compensation and benefits. Requires NY licensure and 3–5 years of relevant experience.

Qualifications

• 3–5 years of legal experience at a major national or international law firm.
• Experience drafting key corporate and securities documents.
• Experience interacting with regulatory authorities (SEC, stock exchanges, and similar bodies).
• Securities transactional experience and reporting and compliance experience is preferred.
• Must be licensed or eligible to practice law in the State of New York.

Responsibilities

• Prepare and manage SEC and other regulatory filings and submissions.
• Draft, review, and negotiate key legal documents and ancillary agreements for corporate and securities transactions.
• Coordinate and execute successful transactions, including public and private offerings, private placements, Regulation S offerings, and M&A transactions.
• Conduct or manage due diligence reviews and coordinate deal closings.
• Manage and develop client relationships.
• Supervise and train junior associates and manage transactional specialists.
• Support the practice by performing research and writing as needed.
