Scan.com in the United States is seeking a Mid-Level Contracts Attorney to join our Legal team. You will own the NDA process end-to-end, manage the contract lifecycle from drafting through negotiation and execution, and support the Supply team with imaging center and services agreements.

This is a hands-on role for someone with a solid commercial contracting background who wants to deepen healthcare transactional experience.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing in any U.S. state.
• Solid commercial contracting experience, with the confidence to run your own matters and limited oversight.
• Strong drafting and redlining skills, with clean edits suitable for counterparty review.
• Clear, direct writing and the ability to explain legal risk to non-lawyers in practical terms.
• Healthcare regulatory experience such as HIPAA, BAAs, AKS/Stark, or work with health providers/payors.

Responsibilities

• Act as the legal point of contact for the Supply team on imaging center and diagnostic services agreements, vendor and service agreements, and related amendments.
• Draft and redline agreements and review counterparty drafts against standard positions, flag deviations and propose fallbacks.
• Negotiate counterparty redlines on liability caps, indemnities, data/privacy terms, and payment terms; escalate material issues with analysis.
• Prepare and negotiate business associate agreements and data processing agreements across affiliated entities.
• Own the NDA process from intake to execution, identifying standard vs. non-standard provisions.
• Administer contract lifecycle management platforms (LawVu) and design intake forms, workflows, and approvals.
• Build and maintain template libraries and negotiation playbooks to speed review and consistency.
• Train business users on contracting policies and the execution process.
• Support HIPAA and state privacy law compliance initiatives within contracts.
