Elucid, a Boston-based medical technology company, seeks a Corporate Counsel to support commercial, contracts, clinical research, and privacy. On-site at our Boston office, you will advise cross-functional teams and manage agreements that bring our AI-enabled imaging to health systems while protecting patient data.

You will lead US and international trial and site agreements, structure data use agreements, and navigate HIPAA and privacy regulations.

Competenze

• JD from ABA-accredited law school required.
• Admission to a state bar in good standing; MA preferred.
• Experience drafting and negotiating commercial contracts, ideally SaaS/software licensing or medtech agreements.

Mansioni

• Draft and negotiate commercial agreements, including health system, reseller, and vendor contracts, NDAs and SaaS / software licenses.
• Serve as the go-to legal partner for sales, business development, and operations on contract terms, risk, and deal structure.
• Lead US and international clinical trial, research, and site agreements with clinical/medical teams.
• Structure data use, licensing, and business associate agreements to protect access to imaging and clinical data.
• Advise on HIPAA and privacy laws, support privacy assessments, data mapping, and incident response.
• Guide healthcare compliance, including Anti-Kickback, Stark, and Sunshine Act matters, and promotional review.
• Partner with Regulatory/Quality/Security on FDA requirements, ISO obligations, and audit readiness.
• Build and refine contract templates, playbooks, and a scalable contract management process.
• Stay ahead of developments in healthcare, privacy, AI, and medical device law with practical guidance.
