Cohere Health, a leading health-tech company, seeks a Commercial Counsel to support growth through strategic legal guidance and robust contracting. You will draft and negotiate enterprise-level agreements, vendor contracts, and SaaS deals while partnering with Sales, Product, and Finance to mitigate risk and accelerate business objectives.

You will work with the Deputy General Counsel and General Counsel to scale commercial processes, ensure regulatory compliance (HIPAA, Medicare/Medicaid

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• 7+ years of corporate legal experience, including time at a law firm and in-house.
• Proven ability to manage a wide range of legal matters and balance risk with business objectives.
• Strong track record of drafting and negotiating commercial contracts, particularly in the technology space.
• Excellent verbal and written communication skills; translating complex legal concepts into practical guidance.

Responsabilités

• Provide transactional and commercial counsel supporting the company's product offerings to health insurer customers and commercial partners.
• Lead commercial contracting efforts by drafting, reviewing, and negotiating agreements including customer contracts, vendor agreements, marketing materials and licenses, NDAs, and SaaS agreements, with focus on sales transactions.
• Help build and maintain commercial legal infrastructure, including contract templates, playbooks, policies and process improvements.
• Partner with Sales, Product, Operations, and HR teams as a trusted advisor providing practical legal guidance.
• Identify and address legal risks while supporting business momentum and growth.
