Advocates Legal Recruiting is seeking a Bay Area Transactional Tax Associate (Junior to Midlevel) for our AmLaw 100 client in San Francisco or Menlo Park. This role is a true deal tax seat tied to market-moving corporate work with meaningful reps and runway.

You will advise on tax aspects of M&A and other corporate transactions, structure tax provisions with corporate, PE, and finance teams, and collaborate across offices on national and cross-border matters with a lean, high-exposure team.

Qualifications

• 1+ year of law firm experience focused on transaction tax, with significant M&A exposure.
• Comfortable drafting and negotiating deal documents and tax deliverables.
• Sharp issue-spotter who can translate tax into practical deal guidance.

Responsibilities

• Advise on tax aspects of M&A and other corporate transactions
• Structure and negotiate tax provisions alongside corporate, PE, and finance teams
• Work directly with a Bay Area tax bench and collaborate across offices on national and cross-border matters
