A North Carolina law firm seeks a transactional Corporate M&A Associate Attorney with 3+ years of experience to join a hybrid team in Greensboro. You will lead deal work from negotiation through closing, draft and negotiate asset and stock purchase agreements, and coordinate with tax and finance teams to ensure compliance.

Qualifications

• 3+ years of corporate transactional experience with a focus on M&A.
• Juris Doctor from an accredited law school.
• Strong drafting and negotiation skills.
• Ability to manage transactions with increasing independence.
• Excellent analytical, problem-solving, and client-facing skills.
• Active North Carolina license required.

Responsibilities

• Structure mergers, acquisitions, divestitures, and joint ventures.
• Lead transactions from initial negotiations through closing.
• Conduct and oversee legal due diligence.
• Draft, review, and negotiate complex transaction documents, including asset and stock purchase agreements.
• Coordinate with tax, finance, and executive teams to ensure strategic and regulatory compliance.
• Identify and manage risk throughout the transaction process.
• Ensure compliance with applicable laws and regulations.
• Deliver high-quality client service under tight deadlines.
